My only advice is to make sure you put out a disclaimer that says US and Canadian citizens are not allowed to take part in the ICO. That gets rid of 99% of your liability issues. Also you want to have your parent company outside the jurisdiction of the US (ie shell company in the Caribbean)

I suppose I am asking how to determine if it is considered a security in the eyes of the SEC. I found these pages:

Well, you are also NOT providing a lot of information about your own supposed circumstances and motivations, and surely Burner was willing to provide some information based on your scanty outline even though it seems that a lot of other guys would likely prefer that you to explain a bit more about your circumstances and motivations rather than just overviewing theoretical considerations when the devil remains in the details about your particular circumstances and perhaps some more specifics.
